Vital Edge Corporate Pilot Terms of Service

IMPORTANT NOTICE: PLEASE READ THESE TERMS CAREFULLY. BY CLICKING "I AGREE", CREATING AN ACCOUNT, OR DEPLOYING THE VITAL EDGE HARDWARE TO YOUR TEAM, YOU AGREE TO BE BOUND BY THESE TERMS ON BEHALF OF YOUR ORGANIZATION ("CLIENT").

YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THE CLIENT TO THIS AGREEMENT.

1. The Pilot Program (30-Day Free Trial)

1.1 Scope

Vital Edge Pty Ltd ("Vital Edge") grants Client a limited, non-exclusive, revocable license to use the Vital Edge platform and software (the "Service") for a period of thirty (30) days (the "Pilot Period") commencing on the date you enter the contract or receive the hardware devices.

1.2 No Cost

During the Pilot Period, access to the Service and the loan of the Hardware is provided at $0.00 (Free).

1.3 Purpose

The Pilot is solely for the purpose of internal evaluation. Client may not resell, white-label, or commercially exploit the Service or data during this period.

2. Hardware Loan & Liability (The Wearables)

2.1 Bailment (Loan)

Vital Edge retains full legal title (ownership) of all wearable devices ("Hardware") provided to Client during the Pilot. Client holds the Hardware as a bailee (borrower) only.

2.2 Risk of Loss

Client assumes all risk of loss, theft, or damage to the Hardware from the moment of delivery.

2.3 Responsibility

Client is responsible for distributing Hardware to its employees and retrieving it. Client agrees to pay the full replacement cost (RRP) for any Hardware that is lost, stolen, or damaged beyond normal wear and tear while in Client’s (or its employees’) custody.

2.4 Return or Buyout

Upon expiration of the Pilot Period, Client must either:

• Convert to a paid subscription (which may include hardware rental or purchase terms); OR
• Return all Hardware to Vital Edge within 10 days.

2.5 Remote Deactivation

If Hardware is not returned or paid for, Vital Edge reserves the right to remotely disable ("brick") the devices, rendering them unusable.

3. Employee Privacy & The “Data Firewall”

3.1 Aggregated Data Only

Client acknowledges that the Service collects sensitive biometric health data from employees. To protect employee privacy, Client shall NOT have access to individual employee health data.

3.2 Reporting

Vital Edge will only provide Client with aggregated, de-identified group reports (e.g., "Team Average Sleep Score").

3.3 Privacy Assurance

Client agrees not to attempt to re-identify individuals from aggregated data or pressure employees to disclose their private health scores. Client agrees that Pilot data will not be used for employment decisions (hiring, firing, or performance reviews).

4. AI & Medical Disclaimer

4.1 Not Medical Advice

The Service, including its "Biological Age" and "Readiness" scores, is for educational and informational purposes only. It is NOT a medical device. It does not diagnose, treat, or cure any disease.

4.2 AI Limitations

The Service uses Artificial Intelligence (AI) to generate recommendations. AI can make mistakes ("hallucinations"). Client agrees to inform its users that they should verify any health advice with a medical professional.

5. Subscription Conversion

5.1 Transition to Paid

At the end of the 30-day Pilot Period, the Service will automatically suspend unless Client activates a Paid Subscription Plan.

5.2 Payment Method

Client may be required to provide a payment method to continue service. Fees for the Paid Subscription will be charged in accordance with the pricing tier selected at that time.

6. Liability & General

6.1 Limitation of Liability

To the maximum extent permitted by Australian law (including the Australian Consumer Law), Vital Edge’s liability for any claim arising out of this Pilot is limited to the replacement value of the Hardware provided. Vital Edge is not liable for any indirect or consequential damages (e.g., lost productivity).

6.2 Governing Law

These Terms are governed by the laws of Queensland, Australia.
